Your continued use of the website following any changes constitutes acceptance of those changes.

2. Description of Services

Direct Fleet Dispatch provides freight dispatch and carrier matching services, connecting brokers and shippers with vetted carriers to transport freight across the United States. Our services include carrier sourcing, load coordination, rate negotiation, and shipment tracking. We act as an intermediary and do not ourselves transport freight. The actual transportation is performed by independent carriers in our network.

3. User Obligations

By using our services, you agree to:

  • Provide accurate, complete, and current information when requesting quotes or submitting freight details
  • Not use our website for any unlawful purpose or in violation of any applicable laws or regulations
  • Not attempt to interfere with, disrupt, or damage our website or servers
  • Not impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
  • Comply with all applicable federal, state, and local laws related to the shipment of goods, including hazardous materials regulations
  • Accurately declare the nature, weight, dimensions, and value of all freight submitted for shipment

4. Quotes and Pricing

All quotes provided by Direct Fleet Dispatch are estimates based on the information you provide at the time of your request. Final rates may vary depending on actual freight weight, dimensions, accessorial charges, fuel surcharges, and other factors. Quotes are valid for the time period stated in the quote or, if no period is stated, for 24 hours from the time of issuance. We reserve the right to adjust pricing if the information provided at the time of the quote proves to be inaccurate.

5. Payment Terms

Payment terms are established at the time of service agreement. All invoices are due within the timeframe specified on the invoice, typically net 30 days unless otherwise agreed upon in writing. Late payments may be subject to a late fee of 1.5% per month or the maximum rate permitted by law, whichever is less. We reserve the right to suspend services for accounts with outstanding balances past due.

6. Limitation of Liability

To the fullest extent permitted by applicable law, Direct Fleet Dispatch, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your use of or inability to use our website or services
  • Any delay, damage, loss, or destruction of freight during transit by a third-party carrier
  • Unauthorized access to or alteration of your data
  • Any other matter relating to our website or services

Our total aggregate liability for any claims arising from or related to these Terms or our services shall not exceed the total amount you paid to us during the 12 months preceding the claim.

7. Indemnification

You agree to indemnify, defend, and hold harmless Direct Fleet Dispatch, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or in connection with: (a) your use of our website or services; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any inaccurate or incomplete information you provide regarding your freight or shipments.

8. Carrier Liability and Claims

Direct Fleet Dispatch acts as an intermediary between shippers, brokers, and carriers. We are not a motor carrier and do not assume carrier liability for freight in transit. Claims for loss, damage, or delay must be filed against the responsible carrier in accordance with the Carmack Amendment and applicable federal regulations. We will assist you in filing and pursuing claims with the carrier but do not guarantee the outcome of any claim.

9. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or our services shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Dover, DE. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

10. Termination

We may terminate or suspend your access to our website and services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use our website and services ceases immediately. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability. Any outstanding payment obligations remain due and payable upon termination.

11. Intellectual Property

All content on this website, including text, graphics, logos, images, and software, is the property of Direct Fleet Dispatch or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content from our website without our prior written consent.

We reserve the right to modify or replace these Terms at any time at our sole discretion. 15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Direct Fleet Dispatch regarding your use of our website and services, and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter herein.
